| | The Board of Directors of ASTARTA Holding N.V. (the "Company") informs that on November 23, 2009, the Company received from ING Towarzystwo Funduszy Inwestycyjnych S.A., with its office at Plac Trzech Krzyzy 10/14, 00-499 Warszawa, the following notification:
"According to article 69 item 1 point 2 and in connection with article 87 item 1 point 2 letter a) of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies, ING Towarzystwo Funduszy Inwestycyjnych S.A. acting on behalf of investment funds managed by it hereby notifies that ING Parasol Fundusz Inwestycyjny Otwarty disposed shares of Astarta Holding N.V. that resulted in declining the threshold of 5 % of voting rights on the general shareholders meeting of Astarta Holding N.V. held by jointly treated funds under ING Towarzystwo Funduszy Inwestycyjnych S.A.
The cause of decrease in percentage of possessed voting rights on general shareholders meeting was sell transaction of shares of Astarta Holding N.V. on November 19, 2009.
Before the sell transaction all the investment funds mentioned above treated jointly possessed 1,262,814 shares of Astarta Holding N.V., what gives 5.05% of registered capital of this company.
Before the sell transaction the shares possessed by all the investment funds mentioned above treated jointly resulted in 1,262,814 of voting rights on the general shareholders meeting, what gives 5.05% of all voting rights on the general shareholders meeting of Astarta Holding N.V.
As of November 19, 2009 and the date of this notification all the investment funds under the management of ING Towarzystwo Funduszy Inwestycyjnych S.A. treated jointly possess 1,012,814 shares of Astarta Holding N.V., what gives 4.05% of registered capital of this company.
As of November 19, 2009 and the date of this notification the shares possessed by all the investment funds under the management of ING Towarzystwo Funduszy Inwestycyjnych S.A. treated jointly resulted in 1,012,814 of voting rights on the general shareholders meeting, what gives 4.05% of all voting rights on the general shareholders meeting of Astarta Holding N.V." | |
