| | Rada Dyrektorów Atlas Estates Limited ("SpóÅ‚ka") niniejszym informuje, że na Zwyczajnym Walnym Zgromadzeniu SpóÅ‚ki, które odbyÅ‚o siÄ™ 16 lipca 2012 r. ("ZWZ") wszystkie uchwaÅ‚y które zostaÅ‚y opublikowane w zawiadomieniu o zwoÅ‚aniu ZWZ z dnia 14 czerwca 2012 r. zostaÅ‚y podjÄ™te jednomyÅ›lnie. Å»adnych sprzeciwów do protokoÅ‚u nie zgÅ‚oszono.
Na ZWZ podjęto, zgodnie z zawiadomieniem o zwołaniu ZWZ z dnia 14 czerwca 2012 roku, uchwały o następującej treści:
UCHWALONO jednomyÅ›lnie zatwierdzenie Sprawozdania Finansowego oraz Raport Dyrektorów za rok obrotowy koÅ„czÄ…cy siÄ™ dnia 31 grudnia 2011 roku.
UCHWALONO ponowne powoÅ‚anie Pana Mark Chasey jako Dyrektora SpóÅ‚ki. UchwaÅ‚a zostaÅ‚a podjÄ™ta jednomyÅ›lnie.
UCHWALONO ponowne powoÅ‚anie BDO LLP na stanowisko biegÅ‚ego rewidenta SpóÅ‚ki od momentu zakoÅ„czenia ZWZ do czasu odbycia kolejnego Zgromadzenia Akcjonariuszy SpóÅ‚ki, na którym zostanÄ… przedstawione SpóÅ‚ce sprawozdania oraz potwierdzono upoważnienie BDO LLP do dokonania przeglÄ…du Å›ródrocznego skróconego sprawozdania finansowego SpóÅ‚ki za okres od 1 stycznia 2012 roku do 30 czerwca 2012 roku i dokonanie audytu skonsolidowanego i jednostkowego sprawozdania finansowego SpóÅ‚ki za rok koÅ„czÄ…cy siÄ™ 31 grudnia 2012 roku. UchwaÅ‚y dotyczÄ…ce BDO LLP zostaÅ‚y podjÄ™te jednomyÅ›lnie.
JEDNOMYŚLNIE UCHWALONO, że Dyrektorzy będą upoważnieni do ustalenia stałej kwoty ich wynagrodzenia.

Result of Annual General Meeting held on 16 July 2012
The Board of Directors of Atlas Estates Limited (the “Company") announces that at its Annual General Meeting (the “AGM") held on 16 July 2012 all the resolutions as set out in the notice of AGM dated 14 June 2012 were unanimously passed. No objections were made.
AGM has passed, in accordance to the notice of AGM dated 14 June 2012, the following resolutions:
IT WAS RESOLVED that the Report of the Directors and the audited Financial Statements of the Company in respect of the year ended 31 December 2011 be and are unanimously approved.
IT WAS RESOLVED that the re-election of Mr Mark Chasey as a Director of the Company be unanimously approved.
IT WAS RESOLVED that BDO LLP were to be reappointed as auditors of the Company, to hold office from the conclusion of the meeting until the conclusion of the next meeting at which the accounts are presented to the Company and that BDO LLP were to be appointed to review the interim condensed consolidated and non-consolidated financial statements of the Company for the period from 1 January 2012 to 30 June 2012 and to audit the consolidated and non-consolidated financial statements of the Company for the year ended 31 December 2012.
IT WAS RESOLVED that the resolutions in respect of BDO LLP be unanimously approved.
IT WAS UNANIMOUSLY RESOLVED that the Directors be authorised to fix the level of their remuneration.
No other resolutions were passed.
