The rights and liabilities due to and borne by E-Star ESCO Kft. shall be divided so that all rights (assets) and liabilities associated with the settlement with the creditors dated on 26th April 2013 and HUF 10,000,000 of the cash of E-Star ESCO Kft. shall be due to and borne by ENEFI Projekttársaság Kft. and all other rights (assets) and liabilities shall be still due to and borne E-Star ESCO Kft. According to the foregoing in terms of the settlement with the creditors dated on 26th April 2013 ENEFI Projekttársaság Kft. shall be the legal successor of the project companies under the settlement with the creditors.
2. Furthermore the Company hereby informs its reputable Investors that E-Star ESCO Kft. has sold its assets and sales revenue associated with its existing projects to the Company.
