| The Board of KSG Agro S.A. is pleased to inform that on 17th of January, 2012, KSG Agro, the leading agricultural producer in Ukraine, has concluded a letter of intent with Polish Energy Partners S.A. for the supply of agricultural pellets. Under this letter the parties agreed to negotiate conditions of future co-operation as regards to expanding production of pellets in Ukraine on the basis of KSG Agro capacities with utilization of know how possessed by PEP for straw pellets production. The parties further intent to negotiate and consequently sign a binding contract within the next couple of months.
KSG Agro plans to start production in a new facility already in 2012. The forecasted capacity is estimated to produce 60 to 90 thousands ton of pellet per annum using its own raw material being the waste of current farming business.
Legal grounds: Article 56.1 of Polish Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies, and Article 14 of the Luxembourg law of 11 January 2008 relating to the transparency requirements in relation to information about issuers whose securities are admitted to trading on a regulated market.
