| | | Unofficial market - legal basis | | | | | | | Contents of the report: | | | | | | | | | | Further to its announcement on 25 September 2015, International Personal Finance plc (“IPF") confirms that, after more than 8 years as a director of the company, Nicholas Page retired from its Board yesterday. As previously announced, Mr Page also served as Chairman of the Audit and Risk Committee since IPF was established following the demerger from Provident Financial plc in 2007 through until September of this year.
IPF further announces that Cathryn Riley will succeed Tony Hales as Chair of the Remuneration Committee with effect from 1 January 2016. Mr Hales, the Group's Senior Independent Director, has served as Chair of the Remuneration Committee since May 2010 and will remain a member of the Committee. Ms Riley, an independent non-executive Director, joined the Board in February 2014 and has been a member of the Remuneration Committee since appointment. John Mangelaars, an independent non-executive Director appointed to the Board on 22 July 2015, will succeed Ms Riley as Chair of the Transformation for Growth Committee. Dan O’Connor, Chairman, said: "Once again, I would like to express thanks to Nick for the tremendous job he has done on the Board since demerger and during his time as Chairman of the Audit and Risk Committee. Throughout his time as Committee Chairman his stewardship of the Committee has been exemplary. I would also like to thank Tony for the fantastic job he has done as Chair of the Remuneration Committee over the past five and a half years. More recently, Tony has overseen a review of the remuneration policy to ensure that it is consistent with governance requirements. He will continue to meet with shareholders in his role as Senior Independent Director. In line with best governance practice, we believe it is now appropriate to separate these roles. Cathryn brings extensive experience to the role and will maintain active engagement with shareholders on remuneration issues throughout 2016 and beyond. I look forward to working with her in her new capacity."
